scenario-based planning as a fundamental approach to structuring M&A transactions in an environment of heightened uncertainty;
the growing importance of security-related risks, asset stability, and data availability as critical factors in investment decision-making;
increased complexity of Due Diligence processes, requiring flexible legal and contractual structures;
concentration of investor interest in sectors with higher resilience and strategic relevance, including defence, energy, logistics, agri-processing, and IT;

Despite the challenges posed by the war, Ukraine’s M&A market continues to demonstrate adaptability and is laying the groundwork for future recovery.
